1. Acceptance of Terms
By accessing the WhiteMoon AI website, requesting a quotation, signing a project agreement, or using any of our services, you agree to these Terms of Service. If you do not agree to these Terms, you must not use our services.
2. Our Services
WhiteMoon AI develops custom AI automation systems for businesses. Depending on the selected service plan, our services may include:
- Custom AI-System development
- Multiple interconnected AI-Systems
- API integrations
- Private dashboards or custom software
- Deployment assistance
- Documentation and project handover
- Post-delivery support
- Ongoing maintenance services
Each solution is custom-built according to the requirements agreed upon in the Project Contract.
3. Service Plans
We currently offer:
- Single AI-System Plan
- Multiple AI-Systems Plan
- Monthly Maintenance Plan
Features, pricing, timelines, and deliverables vary depending on the selected plan and are defined in the Project Contract or quotation.
4. Quotes & Pricing
Project pricing depends on complexity, required integrations, features, and business requirements.
Published prices are estimates only and may change without prior notice.
The final project price is confirmed in the written quotation and Project Contract.
5. Project Process
Every project generally follows this process:
- Initial Discovery Meeting
- Requirements Gathering
- Written Project Contract
- Initial Payment
- Development
- Deployment
- Real-Testing Period
- Final Payment
- Post-Delivery Support
Specific timelines may vary depending on project complexity and will be set out in the Project Contract.
6. Payment Terms
Unless otherwise agreed in writing:
- A 20% non-refundable upfront payment is required before development begins.
- The remaining 80% payment becomes due after successful completion of the agreed Real-Testing Period.
- Development may not begin until the initial payment has been received.
- Late payments may delay project delivery.
7. Real-Testing Period
After deployment, the Client receives a live testing period to verify that the delivered system performs substantially in accordance with the agreed project specifications.
If issues directly related to the agreed scope are identified, WhiteMoon AI will correct them at no additional cost before requesting final payment.
8. Ownership & Intellectual Property
Ownership transfers to the Client only after full payment has been received.
All project files, workflows, software, prompts, dashboards, documentation, and related deliverables remain the property of WhiteMoon AI until full payment has been received.
Upon receipt of full payment, ownership of the agreed project deliverables transfers to the Client.
WhiteMoon AI retains ownership of its internal methodologies, development processes, reusable components, templates, know-how, and proprietary intellectual property unless otherwise agreed in writing.
9. Client Responsibilities
The Client agrees to:
- Provide accurate project requirements.
- Supply necessary information and platform access when requested.
- Review deliverables within a reasonable timeframe.
- Use the delivered systems lawfully.
- Comply with all applicable laws and regulations.
Delays caused by the Client may result in project timeline adjustments.
10. Project Scope
WhiteMoon AI will deliver the services described in the signed Project Contract.
Any request outside the agreed scope may require additional fees, revised timelines, or a separate agreement.
11. Maintenance Services
Maintenance services are separate from project development unless expressly included in the Project Contract.
Maintenance may include:
- Bug fixes
- API maintenance
- Performance monitoring
- AI capability updates
- Security reviews
- Technical support
Maintenance is billed separately according to the selected maintenance plan.
12. Third-Party Services
Our systems may integrate with third-party platforms, APIs, cloud providers, or AI models.
WhiteMoon AI is not responsible for outages, pricing changes, service interruptions, discontinued services, or policy changes made by third-party providers.
13. Confidentiality
Both parties agree to keep confidential all non-public information shared during the project.
Neither party will disclose confidential information without prior written consent unless required by law.
14. Warranties
WhiteMoon AI provides services with reasonable professional care and skill.
Except where required by applicable law, services are provided “as is” without guarantees of uninterrupted operation, error-free performance, or specific business outcomes.
15. Limitation of Liability
To the maximum extent permitted by law, WhiteMoon AI’s total liability arising from any claim related to the services shall not exceed the total amount paid by the Client for the specific project.
WhiteMoon AI shall not be liable for indirect, consequential, incidental, or lost-profit damages.
16. Termination
Either party may terminate the project by written notice.
- The Client remains responsible for payment for all completed work performed prior to termination.
- Any provisions intended to survive termination, including confidentiality, intellectual property, and limitation of liability, shall remain in effect.
17. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of Pakistan.
Any disputes shall first be resolved through good-faith negotiation before either party seeks legal remedies.
18. Changes to These Terms
WhiteMoon AI may update these Terms of Service at any time.
Updated versions become effective immediately upon publication on our website unless otherwise stated.
